In Aeroflot Board of Directors

A regular meeting of Aeroflot Board of Directors was held on Friday, March 11, 2005.

They decided to call a regular annual stockholders meeting of Aeroflot on June 18, 2005, at 10 a.m. in Moscow (Sheremetyevo-1). The agenda of the meeting includes issues that are to be considered at a regular annual stockholders meeting according the federal law.

The Board of Directors approved the fundamental decision of Aeroflot Board announced at the meeting to conclude a contract on purchasing six Il-96-300 aircrafts by Aeroflot on leasing terms.

This decision of the Company Board of Directors meets measures of the Government taken to support Russian aircraft manufactures.

The Board of Directors listened to the report of the competition results on purchasing (leasing) planes of regional class.

There was considered and approved the Company management information on completing preparation of Aeroflot to switch to reservation and sales system “Sabre Airline Solutions” from March 22, 2005. Sabre system introduction enables Aeroflot to use advanced technologies of working with high-capacity client base (about 300 million passengers a year); it is to expand functionality the software used, is to provide switching to Internet-reservation and sales system and E-ticketing as well.

They made decisions on Terminal JSC capital structure. The Company Board of Directors considers to be reasonable the participation in Sheremetyevo-3 construction project and Terminal stock capital: Aeroflot JSC; Sheremetevo airport; Vneshtorgbank JSC and Sberbank JSC. They accepted Sheremetevo airport to acquire 25% + 1 stock of Terminal JSC.

Aeroflot management was charged to complete negotiations in April with Vneshtorgbank JSC and Sberbank JSC on shares and terms of banks participation in Terminal stocks.

The Board of Directors approved the airline company’s action “The Great Victory Anniversary” providing free carriages of veterans within the period of celebrating the 60th anniversary of our Motherland’s victory in the Great Patriotic war.
