June 19, 2010, Moscow. - The annual general meeting of the shareholders of JSC "Aeroflot - Russian Airlines” was held today.
JSC “Aeroflot” has successfully survived the year of crisis by finishing it with acquisition of total net income of 1.553 billion rubles in accordance to the RAS. Group “Aeroflot" has finished the year of 2009 with the net income of 85,8 million US dollars in accordance to the IFRS. This result is 3.5 times higher than the results of 2008. Aeroflot is one of the two air companies worldwide which remained profitable in 2009.
Market capitalization of JSC “Aeroflot” in 2009 increased at 75% and made 1,9 billion US dollars.
Aeroflot during the crisis remained the leader of Russian civil aviation and strengthened its positions.
The Russian market is the main priority in the traffic routing of Aeroflot. The number of flights to various directions in Russia has been increased. Two new branches were created - in Vladivostok and Kaliningrad. The company actively participated in the program of Far Eastern sponsored transportations, realized by the Government of the Russian Federation. In 2009 within the limits of this program Aeroflot transported 26 thousand passengers at a reduced fare. In 2010 this number is going to be increased in comparison to 2009.
Aeroflot has significantly improved its positions on the market of international transportations. New routs were established in accordance to popular tourist places abroad - to Hurghada and Sharm el-Sheikh in Egypt, Eilat in Israel, Innsbruck and Salzburg in Austria, flights to Dresden were resumed. In 2009 Aeroflot cooperated with 28 air companies within Codshare agreements.
In 2009 due to implementation of anti-recessionary measures, as well as to reduction of aviation fuel costs, the company's expenses reduced at 976 millions US dollars in comparison to 2008.
In 2009 Aeroflot and its affiliated companies transported 11 million passengers, which makes nearly a quarter of the total number of passenger transportations by Russian aviation.
With its own flights Aeroflot transported 8, 755 millions of passengers, as well as 86,8 thousand tons of cargo and mail. Under condition of the depression in the industry of air transportations at 9.4% the passenger traffic of Aeroflot reduced only at 5.6%. Passenger turnover made about 26 billion pkm. Despite the reduction in this indicator of 4.6% the priority Russian direction demonstrates the increase of 1.6%. The increase of 14% demonstrate such international directions in countries of the Near and Middle East and Africa.
Against the background of the general reduction in the scope of works the percentage of passenger seats occupation in 2009 made 69,5, and demonstrated reduction only in 1.4 percentage points, commercial load factor reduced only by 0.3 percentage points, which made 55.9%. However, for the first four months of 2010 these indicators have grown up to 73,7% and 60,5% accordingly.
During the accounting period Aeroflot actively proceeded with modernization of its aircraft fleet. During the year 24 new aircrafts were added into a fleet (18 aircrafts of series Airbus А320 and six А330).
In connection to the deliveries of new aircrafts the flight personnel has been increased by 213 aircraft commanders, 226 second pilots and 343 pilots were retrained to pilot new aircraft types. In comparison to the year 2008 the total number of newly hired pilots made 260 persons.
The flights safety level for the last year made 99.967% (+ 0,012 percentage points in comparison to 2008). This is the highest result among Russian air companies.
The annual general meeting of the shareholders of OJSC “Aeroflot – Russian airlines” approved the annual report, annual accounting statement, including the profit and loss statement of the Company, as well as approved the recommendation of the Board of Directors on distribution of the net income. According to the Audit commission’s conclusion the annual accounting statement of the Company as well as the data of the annual report of OJSC "Aeroflot" for the year 2009 are true.
The annual general meeting of shareholders approved the recommendation of the Board of Directors to assign not less than 25% of net income, namely 388.4 million rubles, which makes 0.3497 rubles per one share (in 2008 – 199.9 millions of rubles or 0.1818 rubles per one share) for payment of dividends. This means the dividend rate for the year 2009 increased twice. The main shareholder - the state - except for the dividends received from OJSC "Aeroflot" in the form of taxes to budgets of all levels 8.8 billion rubles and customs payments for the amount of 3,6 billion rubles.
By the meeting of the shareholders new compositions of the Board of Directors, Audit commission were approved, a new auditor of OJSC “Aeroflot” was approved.
According to the preliminary data the following 11 candidates were elected to the Board of Directors:

Androsov Kirill Gennadyevich– Deputy to the Head of Government Apparatus of the Russian Federation;
Antonov Vladimir Nikolaevich– the first deputy to the general director of OJSC “Aeroflot";
Dmitriev Vladimir Aleksandrovich- the chairman of PC “Bank of development and external economic activities (Vnesheconombank)";
Dushatin Leonid Alexeevish– the senior vice-president of JSCB “National Reserve bank” (OJSC);
Lyovin Kirill Yuryevich– vice-president – the first deputy to the director of the department of OJSC “Sberbank of Russia”;
Levitin Igor Evgenyevich– the minister of transport of the Russian Federation;
Nikitin Gleb Sergeevich– deputy to the head of Rosimushestvo;
Savelyev Vitaly Gennadyevich– the general director of “Aeroflot”;
Stolyarov Andrey Victorovich– deputy to the general director of CJSC “UniCredit Aton”;
Teplukhin Pavel Mikhaylovich- an independent expert.
As the auditor of OJSC “Aeroflot” for the year 2010 company CJSC “BDO” was approved.
