7 June 2022, Moscow — PJSC Aeroflot (Moscow Exchange ticker: AFLT) announces the results of an Extraordinary General Meeting of shareholders held on 3 June 2022 with absentee voting.
The EGM approved measures to bolster Aeroflot Group’s financial stability and to restructure obligations under letters of credit.
Shareholders approved an increase in the Company’s equity capital of up to 5,424,308,073 additional shares through an open subscription at a price of RUB 34.29.
The EGM also approved a related technical amendment to the Company’s Charter to increase the number of authorized shares from 616,080,851 to 5,424,308,073. (“Authorized shares” are those that the Company may legally issue in addition to already issued equity capital.) The amendment will come into effect after registration with the Federal Tax Service.
The specified number of authorized shares is set with a margin, the actual volume of the placement will depend on the final financing needs as part of the restructuring of obligations under letters of credit, as well as the pre-emptive rights exercise volume and participation in an open subscription.
