Aeroflot announces successful sale of quasi-treasury shares

Aeroflot announces successful sale of quasi-treasury shares

PJSC Aeroflot (Moscow Exchange ticker: AFLT) announces the successful completion of sale of quasi-treasury shares stake by its wholly owned subsidiary Aeroflot Finance LLC.

Aeroflot Finance successfully completed the sale of ordinary shares of its parent company, PJSC Aeroflot. Investors were offered a total of 53,716,189 shares of PJSC Aeroflot as part of the offering, which was conducted by way of an accelerated bookbuild beginning after close of trading on Moscow Exchange on 19 September and completing before market open on 20 September. The offering was taken up in full. Buyers included a wide range of international investors from the UK and continental Europe, as well as Russian investment funds.

The offer price, which was determined based on the bookbuild, was RUB 182 per share, representing a discount of approximately 4.2% to Aeroflot’s closing share price on the day the transaction was launched. An effective discount – a standard market practice in secondary public offerings – was achieved thanks to the teamwork of management and the joint global coordinators, J.P. Morgan Securities plc and Goldman Sachs International, as well as high levels of demand from investors.

The proceeds to the seller from the sale will be approximately RUB 9.8 billion. After the transaction completes, PJSC Aeroflot will have a free float of 45.8%.

Shamil Kurmashov, PJSC Aeroflot Deputy CEO for Commerce and Finance, commented: “The placement of a stake of quasi-treasury shares had a number of goals – to raise cash for general corporate purposes, to increase the size of our free float and as a result boost liquidity on the secondary market for Aeroflot shares, and also to further increase the quality of our corporate governance. The number of orders received by the banks for Aeroflot shares significantly exceeded our expectations. We were pleased to see such high levels of attention and interest from international and Russian investors in Aeroflot’s investment case. Investors who placed orders for our shares included both current institutional investor shareholders as well as new funds seeking to buy into our capital. The high levels of demand and oversubscription of the order book illustrate Aeroflot’s attractiveness to investors and the investment community’s belief in our plans and the long-term prospects of Aeroflot Group.”
